Terms of Service

Effective date: 9 July 2025

1. Acceptance

By accessing or using any TradeOS product or feature (the “Service”), you agree to these Terms. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. The Service

TradeOS provides software tools, AI-assisted workflows, and related features that may connect to third-party APIs, brokerages, exchanges, wallets, data providers, and other services designated by you. TradeOS provides the Service on a user-directed basis. TradeOS is not a broker, dealer, exchange, investment adviser, portfolio manager, futures commission merchant, introducing broker, custodian, money transmitter, or fiduciary, and does not execute, clear, settle, hold, custody, or take possession of your assets unless expressly stated in a separate written agreement.

3. Accounts & Eligibility

You must be at least 18 years old, have legal capacity to enter into these Terms, and provide accurate account information, including a valid email. You are responsible for safeguarding your login credentials and for all activity under your account. You may not use the Service if you are located in, ordinarily resident in, or a person or entity subject to sanctions or other restrictions that would make your use unlawful. Any geo-blocking, IP filtering, geolocation, or similar compliance controls we implement are for convenience only and do not guarantee that the Service, or any feature or third-party connection, is unavailable in every restricted jurisdiction or to every restricted person.

4. Plans, Fees, Refunds

Pricing is published on the Service. Charges are billed monthly in USD unless stated otherwise. You are responsible for applicable taxes, duties, or similar governmental charges, excluding taxes based on our net income. Refunds: cancel within 7 days of the first payment for a full refund; afterward, cancellations take effect at the next billing cycle.

5. Your Content, Connected Accounts & Conduct

You may upload code, prompts, credentials, configuration, or other content (“User-Generated Content”). You retain ownership of your User-Generated Content. You warrant that you have all rights and permissions needed to use it with the Service and that your use of the Service, including any connected broker, exchange, wallet, API, data source, or other third-party account, does not violate any law, regulation, contract, or third-party terms. You are solely responsible for instructions, strategies, orders, permissions, connected accounts, API keys, wallet permissions, and all activity initiated through your account or credentials. You may not use the Service to manage assets or accounts for third parties unless expressly authorized by us in writing. You, not TradeOS, are responsible for moderating or removing unlawful user content in the software you build with our platform.

6. License to Us

You grant us a non-exclusive, worldwide, limited license to host, process, transmit, and use your User-Generated Content solely as necessary to provide, secure, maintain, and improve the Service and to comply with applicable law.

7. Intellectual Property

All TradeOS software, documentation, and trademarks are our property or the property of our licensors. Using the Service does not grant you any intellectual property rights except the limited rights expressly stated in these Terms.

8. Availability, Third-Party Services & Modifications

We aim for high uptime but do not guarantee that the Service will be uninterrupted, error-free, or compatible with any particular third-party service. Third-party services may change, suspend, revoke, or limit access at any time, and TradeOS is not responsible for third- party outages, execution failures, API changes, account restrictions, delistings, forks, market halts, liquidation events, or similar events. We may modify, suspend, or discontinue features at any time.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. Any AI-generated analysis, output, automation, or workflow provided by TradeOS is for informational, operational, and research purposes only and does not constitute financial, investment, legal, tax, accounting, trading, or other professional advice, or a recommendation, solicitation, or offer to buy or sell any asset or enter into any transaction. You are solely responsible for evaluating any output, verifying all instructions, determining whether any transaction is suitable for you, and ensuring your compliance with applicable laws and third-party terms. Trading and investing in securities, derivatives, foreign exchange, digital assets, and other instruments involve substantial risk of loss, including total loss. Past performance is not indicative of future results.

10. Limitation of Liability

To the maximum extent allowed by law, TradeOS will not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or assets, even if advised of the possibility of such damages. TradeOS is not liable for losses arising from market movements, trading decisions, liquidations, failed or delayed orders, third-party acts or omissions, unauthorized access resulting from your failure to secure credentials, or your use of connected accounts, wallets, or APIs. Our aggregate liability arising out of or relating to the Service or these Terms is capped at the fees you paid us in the twelve months before the event giving rise to the claim.

11. Indemnity

You agree to indemnify, defend, and hold harmless TradeOS and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, and expenses (including reasonable legal fees) arising out of or relating to your misuse of the Service, your User-Generated Content, your connected accounts or credentials, your violation of applicable law or third-party terms, or your breach of these Terms.

12. Governing Law & Disputes

These Terms are governed by the laws of Singapore, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be submitted to the exclusive jurisdiction of the Singapore courts.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately if we believe you have breached these Terms, your use creates legal, regulatory, security, or reputational risk, or we are required to do so by a third-party provider or applicable law.

14. Changes to Terms

We may update these Terms from time to time. We’ll notify you of material changes via email or in-app notice at least 7 days before they take effect. By continuing to use the Service after the updated Terms take effect, you agree to the revised Terms.
